Intellectual Property Policy

ProKitchen ("we," "us," or "our") takes intellectual property rights seriously — both our own and those of the third-party brands whose products we sell. This Intellectual Property Policy explains what we own, what others own, how you may use content from our Site, and how to report copyright or trademark concerns.

1. Our Intellectual Property

Unless otherwise stated, all content published on pro-kitchen.shop is the exclusive property of ProKitchen and is protected under the United States Copyright Act (17 U.S.C. § 101 et seq.) and applicable international copyright conventions. This includes, without limitation:

• Original editorial copy, product descriptions, buying guides, and blog content written by the ProKitchen team
• Original photography, video, and visual compositions produced for the Site
• The ProKitchen brand name, wordmark, monogram mark, and all associated logos and trade dress
• The overall design, layout, color palette, typographic choices, and user interface of the Site
• Curation decisions, product categories, and editorial frameworks unique to ProKitchen
• All underlying source code, stylesheets, and scripts powering the Site

2. Brand Trademarks on the Site

The Site displays trademarks, brand names, product names, logos, and images belonging to third-party manufacturers and brand owners, including but not limited to ProKitchen (a registered trademark of Whirlpool Corporation). These marks are used solely for the purpose of identifying and describing the products we sell as an authorized retailer.

The display of third-party trademarks on the Site does not constitute or imply any affiliation, endorsement, sponsorship, or partnership with those brand owners beyond our authorized dealer relationship. All third-party marks are the property of their respective owners, who retain all rights therein.

ProKitchen®, the ProKitchen logo, and all ProKitchen product names are registered trademarks of Whirlpool Corporation. ProKitchen is an authorized US retailer of ProKitchen products but is not affiliated with, owned by, or controlled by Whirlpool Corporation.

3. User-Submitted Content

The Site may allow you to submit product reviews, ratings, photos, comments, or other content ("User Content"). By submitting User Content, you represent and warrant that:

• You own the User Content or have all necessary rights and permissions to submit it
• The User Content does not infringe the intellectual property rights, privacy rights, or any other rights of any third party
• The User Content is truthful, accurate, and based on your genuine experience
• The User Content does not contain defamatory, obscene, threatening, harassing, or otherwise unlawful material
• The User Content does not contain advertising, promotional material, or commercial solicitations not authorized by ProKitchen

We reserve the right to remove, edit, or decline to publish User Content at our sole discretion, including content that we believe violates this policy, our Terms of Service, or applicable law.

4. License Grant to ProKitchen

By submitting User Content to the Site, you grant ProKitchen a non-exclusive, royalty-free, worldwide, perpetual, irrevocable, sublicensable, and transferable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such User Content in any media or format now known or hereafter developed, for any purpose related to operating, improving, or promoting the Site and our business.

You retain ownership of your User Content. The license above does not affect your ownership rights. You may request removal of your User Content at any time by contacting us at support@pro-kitchen.shop, subject to content already distributed or cached by third parties.

5. Permitted Uses of Site Content

You may use content from the Site for personal, non-commercial purposes only, provided you:

• Do not remove or alter any copyright, trademark, or other proprietary notices
• Attribute the content to ProKitchen with a link back to pro-kitchen.shop
• Do not use the content in a way that suggests an endorsement or affiliation with ProKitchen that does not exist
• Do not aggregate or republish substantial portions of the Site's content

Press and Media

Members of the press may use our brand name and single product images for editorial coverage of ProKitchen, provided the use is factual, not misleading, and the images are used in context. For high-resolution press assets, contact support@pro-kitchen.shop.

Affiliate and Referral Partners

Approved affiliate partners may use ProKitchen-provided promotional assets within the scope of their affiliate agreement. Use of any ProKitchen marks outside of an active, signed affiliate agreement is not permitted. To inquire about our affiliate program, email support@pro-kitchen.shop.

6. Prohibited Uses

The following uses of ProKitchen's intellectual property are strictly prohibited without our prior written consent:

• Copying, reproducing, or republishing Site content for any commercial purpose
• Framing, mirroring, or scraping any portion of the Site
• Using the ProKitchen name, logo, or trade dress in a way that could cause consumer confusion or suggest association with ProKitchen
• Using ProKitchen's product photography in any context other than the product listing page where it appears
• Creating competing products, services, or websites that rely on ProKitchen's intellectual property
• Reselling or redistributing any content from the Site without authorization
• Using ProKitchen's brand identity in social media handles, domain names, or advertising without authorization

Violations of this policy may result in legal action, including claims for copyright infringement, trademark infringement, and/or unfair competition under applicable US and international law.

7. DMCA / Copyright Takedown Requests

ProKitchen respects the intellectual property rights of others and expects users and third parties to do the same. In accordance with the Digital Millennium Copyright Act (17 U.S.C. § 512), we have designated a Copyright Agent to receive notices of claimed copyright infringement.

If you believe that content on our Site infringes your copyright, please submit a written notice to our Copyright Agent that includes all of the following:

1. A physical or electronic signature of the copyright owner or a person authorized to act on their behalf
2. Identification of the copyrighted work claimed to have been infringed (or, if multiple works are covered by a single notification, a representative list of such works)
3. Identification of the material that is claimed to be infringing, and information reasonably sufficient to permit us to locate the material on the Site (such as a URL)
4. Your contact information, including your name, address, telephone number, and email address
5. A statement that you have a good-faith belief that the use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law
6. A statement that the information in the notification is accurate, and under penalty of perjury, that you are authorized to act on behalf of the copyright owner

Upon receipt of a valid and complete DMCA notice, we will expeditiously remove or disable access to the allegedly infringing content and notify the party who posted it. We may also forward a copy of the notice to the party who posted the content.

Warning: Submitting a false DMCA notice is a serious matter. Under 17 U.S.C. § 512(f), you may be liable for damages — including costs and attorneys' fees — if you knowingly materially misrepresent that material is infringing. If you are unsure whether material on our Site infringes your copyright, consult an attorney before submitting a notice.

8. Counter-Notice Procedure

If you believe that content you submitted was wrongly removed or disabled due to a mistaken or misidentified DMCA takedown, you may submit a counter-notice. A valid counter-notice must include:

1. Your physical or electronic signature
2. Identification of the content that was removed and its location before removal
3. A statement under penalty of perjury that you have a good-faith belief that the content was removed or disabled as a result of mistake or misidentification
4. Your name, address, and telephone number
5. A statement consenting to the jurisdiction of the federal district court for your judicial district (or, if outside the US, any judicial district in which ProKitchen may be found), and that you will accept service of process from the original complainant

Submit counter-notices to our Copyright Agent at the address above. Upon receipt of a valid counter-notice, we will forward it to the original complainant. If the complainant does not file a lawsuit within 10–14 business days, we may restore the content.

9. Repeat Infringers

ProKitchen has a policy of terminating, in appropriate circumstances, the accounts of users who are deemed to be repeat infringers of copyrights or other intellectual property rights. We reserve the right to make this determination at our sole discretion based on the totality of circumstances, including the number and nature of validated infringement notices received.
